1. Eligibility and Account Registration

1.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract in your jurisdiction. The Platform is intended solely for use by jewelry designers, jewelers, manufacturers, materials dealers, and related professionals operating lawful businesses. By registering, you represent that you meet these requirements.

1.2 Account Registration

To access most features of the Platform, you must register for an account by providing accurate, current, and complete information, including your name, business name, email address, account type (Jeweler/Designer, Manufacturer, or Materials Dealer/Buyer), and payment information where applicable. You agree to maintain and promptly update your account information.

1.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You agree to:

• Notify AurumFlow immediately at legal@aurumflow.ai if you suspect unauthorized access to your account;
• Never share your password or access credentials with any third party;
• Use a strong, unique password and enable two-factor authentication where offered;
• Log out of your account at the end of each session if using a shared device.

AurumFlow is not liable for any loss or damage arising from your failure to comply with these security obligations.

1.4 Account Types

The Platform supports three primary account types, each with specific permissions and obligations:

• Jeweler/Designer: Access to AI design generation, CAD request submission, photography studio, manufacturing network, and materials marketplace.
• Manufacturer: Access to incoming design requests, quoting tools, production management, and payment processing via Stripe Connect.
• Materials Dealer/Buyer: Access to the materials marketplace to list and purchase precious metals, gemstones, diamonds, and related findings.

2. Platform Services

2.1 AI Design Studio

AurumFlow provides an AI-powered design generation tool that converts text prompts and reference images into 2D concept renders and 3D model files (STL/OBJ/GLB formats). You acknowledge that:

• AI-generated designs are probabilistic outputs and may require professional review before use in manufacturing;
• AurumFlow does not guarantee that AI-generated STL files are watertight, dimensionally accurate, or suitable for any specific manufacturing process without further refinement;
• You are solely responsible for reviewing and validating all AI-generated designs before submitting them to manufacturers or using them for any commercial purpose;
• AurumFlow uses third-party AI model providers (including but not limited to Meshy AI and Tencent Hunyuan) to fulfill generation requests, and their service availability may affect Platform functionality.

2.2 Human-Assisted CAD Services

AurumFlow may offer human-assisted CAD design services ("CAD Services") through which Users submit design briefs, reference images, and specifications, and AurumFlow's internal team delivers a custom 3D model file. For CAD Services:

• Turnaround times are estimates and not guaranteed delivery commitments;
• Payment is collected upfront at time of submission via Stripe;
• Users are entitled to a defined number of revision rounds as specified at the time of purchase;
• Intellectual property in delivered CAD files transfers to the User upon full payment, except for any AurumFlow base libraries or reusable components, which remain AurumFlow's property;
• CAD Services are subject to capacity availability and AurumFlow reserves the right to decline any submission that violates these Terms or is technically infeasible.

2.3 Manufacturing Network

AurumFlow provides a marketplace that connects Jeweler/Designer users with Manufacturer users. AurumFlow is a marketplace facilitator only and is not a party to any manufacturing agreement between Users. You understand that:

• AurumFlow does not manufacture jewelry and does not guarantee the quality, delivery, or fitness for purpose of any manufacturing services contracted through the Platform;
• All manufacturing agreements are directly between the Jeweler/Designer and the Manufacturer;
• AurumFlow collects a commission of 8–12% of the total manufacturing job value, as specified on the Platform, for facilitating the connection and payment processing;
• Manufacturers must connect a valid Stripe Express account before receiving payments through the Platform.

2.4 Materials Marketplace

The materials marketplace allows Dealer/Buyer users to list and purchase precious metals, diamonds, gemstones, and jewelry findings. AurumFlow acts as a marketplace facilitator and:

• Does not independently verify the quality, authenticity, grading, or valuation of listed materials;
• Collects a dealer commission of 1–3% based on account tier (Premium: 1%, Professional: 2%, Standard: 3%);
• Is not responsible for disputes arising from misrepresented materials, quality discrepancies, shipping issues, or failed deliveries between buyers and sellers.

2.5 Photography Studio

The photography studio uses AI image generation to produce product imagery based on your text descriptions and uploaded reference photos. AI-generated images are for marketing and presentation purposes only. AurumFlow does not guarantee photographic accuracy, color accuracy, or that images will match any physical product.

2.6 Service Availability

AurumFlow provides the Platform on an "as available" basis. We do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party API outages (including AI generation providers, Stripe, and metals pricing feeds), and force majeure events may cause temporary disruptions. We will make reasonable efforts to provide advance notice of scheduled downtime.

3. Fees, Payments, and Billing

3.1 Subscription Plans

Access to certain Platform features requires a paid subscription. Subscription fees are billed monthly or annually as selected at signup. Current pricing is published on the Platform and is subject to change with 30 days' advance notice to existing subscribers.

3.2 Credit System

Certain features (including photography generation, 4K export, and AI design variations) consume Platform credits. Credits are purchased separately and do not expire for 12 months from the date of purchase. Credits are non-refundable except as required by applicable law.

3.3 STL Export Fees

Export of production-ready STL files for manufacturing may require payment of a per-export fee or consumption of included monthly exports, depending on your subscription plan. Fees are disclosed at the point of export.

3.4 Payment Processing

All payments are processed by Stripe, Inc., a third-party payment processor. By providing payment information, you authorize AurumFlow to charge your payment method for all fees incurred. You agree to Stripe's Terms of Service. AurumFlow does not store complete credit card numbers.

3.5 Refund Policy

Subscription fees are non-refundable except at AurumFlow's sole discretion or as required by applicable law. CAD Service fees may be partially refunded if AurumFlow is unable to deliver within 3x the quoted turnaround time through no fault of the User. AI design generation credits consumed are non-refundable.

3.6 Taxes

You are responsible for all taxes, duties, and levies applicable to your purchase of Platform services. AurumFlow will collect sales tax where legally required.

4. User Content and Intellectual Property

4.1 Your Content

You retain ownership of all design briefs, reference images, descriptions, and other materials you upload to the Platform ("User Content"). By uploading User Content, you grant AurumFlow a non-exclusive, worldwide, royalty-free license to use, store, process, display, and transmit your User Content solely as necessary to provide the Platform services to you.

4.2 AI-Generated Outputs

Ownership of AI-generated design images and 3D model files generated from your prompts is assigned to you upon generation, subject to payment of applicable fees. You acknowledge that AurumFlow may use anonymized, aggregated, and de-identified versions of generation inputs and outputs to train and improve its AI models, unless you opt out by contacting legal@aurumflow.ai.

4.3 CAD Service Outputs

Upon full payment for CAD Services, AurumFlow assigns to you all intellectual property rights in the custom-designed STL/OBJ files delivered, excluding any AurumFlow proprietary base geometry libraries incorporated therein, which are licensed (not assigned) to you for use in the specific delivered design only.

4.4 AurumFlow IP

The Platform, including its software, AI models, algorithms, databases, branding, trademarks, trade dress, and proprietary methodologies, is owned by or licensed to AurumFlow Inc. and is protected by United States and international intellectual property laws. These Terms do not grant you any rights in AurumFlow's intellectual property beyond the limited right to use the Platform as expressly described herein.

4.5 Feedback

If you provide suggestions, bug reports, or other feedback about the Platform, you grant AurumFlow a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation or compensation to you.

4.6 DMCA / Copyright Complaints

AurumFlow respects the intellectual property rights of others. If you believe that content available through the Platform infringes your copyright, please send a written notice to our designated DMCA agent at legal@aurumflow.ai including: (i) a physical or electronic signature of the copyright owner or authorized agent; (ii) identification of the copyrighted work claimed to be infringed; (iii) identification of the allegedly infringing material and information reasonably sufficient to permit us to locate it; (iv) your contact information; (v) a statement that you have a good-faith belief that the use is not authorized; and (vi) a statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner. We will respond to valid DMCA notices in accordance with 17 U.S.C. § 512 and may remove infringing content and terminate repeat infringers' accounts.

5. Prohibited Conduct

You agree not to use the Platform to:

• Upload or submit any content that infringes any third party's intellectual property rights, including copyrighted jewelry designs, trademarked brand elements, or patented designs;
• Submit false, misleading, or fraudulent information in design requests, manufacturer profiles, or materials listings;
• Attempt to reverse-engineer, decompile, or extract AurumFlow's AI models, source code, or proprietary algorithms;
• Use automated bots, scrapers, or scripts to access or interact with the Platform without prior written consent;
• Engage in any activity that would impose an unreasonable or disproportionate load on the Platform's infrastructure;
• Use the Platform to facilitate the sale of counterfeit, misrepresented, conflict, or blood diamonds or other materials that violate international trade laws (including the Kimberley Process);
• Attempt to circumvent Platform fees, commissions, or payment processing by arranging transactions outside the Platform with parties discovered through the Platform;
• Harass, threaten, defame, or engage in abusive behavior toward other Platform users;
• Use the Platform for any illegal purpose or in violation of any applicable law or regulation.

AurumFlow reserves the right to suspend or terminate accounts engaged in prohibited conduct, with or without prior notice, and to report illegal activity to appropriate authorities.

6. Third-Party Services and Integrations

The Platform integrates with third-party services including Stripe (payments), Meshy AI and Tencent Hunyuan (3D model generation), metals pricing data providers, and cloud storage providers. These integrations are subject to the third parties' own terms and privacy policies. AurumFlow is not responsible for the performance, accuracy, availability, or policies of any third-party service.

The Platform may contain links to third-party websites. Such links do not constitute endorsement by AurumFlow. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites.

7. Disclaimer of Warranties

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, METALS PRICING DATA, MANUFACTURER PROFILES, OR MATERIALS LISTINGS;
• WARRANTIES THAT AI-GENERATED STL FILES WILL BE SUITABLE FOR ANY SPECIFIC MANUFACTURING PROCESS OR WILL MEET ANY SPECIFIC QUALITY STANDARD.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM AURUMFLOW OR THROUGH THE PLATFORM, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

8. Limitation of Liability

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL;
• DAMAGES ARISING FROM MANUFACTURING DEFECTS, DESIGN ERRORS, OR QUALITY FAILURES BY PLATFORM MANUFACTURERS;
• DAMAGES ARISING FROM INACCURATE AI-GENERATED DESIGNS USED IN MANUFACTURING;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR USE OF THE PLATFORM OR YOUR ACCOUNT.

IN ALL CASES, AURUMFLOW INC.'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO AURUMFLOW IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, the above limitations apply to the fullest extent permitted by law.

9. Indemnification

You agree to defend, indemnify, and hold harmless AurumFlow Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of or inability to use the Platform;
• Your User Content, including any claims that your content infringes any third party's intellectual property rights;
• Your breach of these Terms;
• Your violation of any applicable law or third-party rights;
• Any manufacturing, product quality, or commercial dispute arising from transactions facilitated through the Platform.

10. Term and Termination

10.1 Term

These Terms are effective from the date you first access the Platform and continue until terminated as provided herein.

10.2 Termination by You

You may terminate your account at any time by contacting legal@aurumflow.ai or using account deletion features within the Platform settings. Termination does not entitle you to any refund of prepaid subscription fees or unused credits.

10.3 Termination by AurumFlow

AurumFlow may suspend or terminate your account at any time, with or without notice, if we determine in our sole discretion that:

• You have violated these Terms or our Acceptable Use Policy;
• Your account poses a security or fraud risk;
• We are required to do so by law or court order;
• We decide to discontinue the Platform or any part thereof.

10.4 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. We may delete your account data in accordance with our Privacy Policy. Sections 4, 7, 8, 9, 11, and 12 survive termination.

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

11.2 Informal Resolution

Before initiating any formal dispute proceeding, you agree to first contact AurumFlow at legal@aurumflow.ai and attempt to resolve the dispute informally for a period of 30 days.

11.3 Binding Arbitration

Except for claims for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration will be conducted in Delaware. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

11.4 Class Action Waiver

11.5 Exception

Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights or breach of confidentiality obligations.

12. General Provisions

12.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and AurumFlow regarding the Platform and supersede all prior agreements and understandings.

12.2 Modifications

AurumFlow reserves the right to modify these Terms at any time. We will provide notice of material changes via email or prominent notice on the Platform at least 14 days before changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the revised Terms.

12.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms remain in full force and effect.

12.4 Waiver

AurumFlow's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

12.5 Assignment

You may not assign or transfer these Terms or any rights hereunder without AurumFlow's prior written consent. AurumFlow may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

12.6 Force Majeure

AurumFlow will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, acts of government, internet or telecommunications outages, or third-party service failures.
